By engaging NovaCraft Digital LLC ("Company," "we," "us," or "our"), you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), together with our Privacy Policy and Refund Policy.
NovaCraft Digital LLC provides digital services including but not limited to UI/UX design, web design, web development, branding, digital marketing, and landing page creation. The specific scope of services will be defined in a separate project proposal or service agreement for each engagement.
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will make every effort to communicate changes that may affect active projects.
Our services are offered through monthly subscription plans. Current plans include Starter, Professional, and Enterprise tiers. Each plan includes a defined scope of services, revision rounds, and support levels as detailed on our Services page.
Payment is processed through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your selected payment method on a recurring monthly basis. All payments are in US Dollars (USD) unless otherwise specified.
Failed payments may result in suspension of services. We will attempt to notify you of payment failures and provide a reasonable grace period before service interruption.
Upon full payment for completed work, you receive full ownership of all final deliverables created specifically for your project, including designs, code, and content. We retain ownership of pre-existing tools, templates, frameworks, and methodologies used in the creation process.
We reserve the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing. Any third-party assets (stock photos, fonts, plugins) are subject to their respective licenses.

Each subscription plan includes a defined number of revision rounds. Additional revisions beyond the plan allowance may be arranged at an hourly rate agreed upon in advance. Once a deliverable is approved by you, further changes are considered new work.
To the maximum extent permitted by law, NovaCraft Digital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you in the three months preceding the claim.
We do not guarantee specific business outcomes, search engine rankings, conversion rates, or revenue increases as a result of our services.
Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This obligation survives the termination of any agreement between us for a period of two years.
Either party may terminate the engagement with 30 days written notice. Upon termination, you will receive all completed work up to that point. Any work in progress will be delivered in its current state. Outstanding payments for completed work remain due.
Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in the State of Wyoming in accordance with the rules of the American Arbitration Association.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our website. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
